CFIUS 2022 Annual Report Reveals Record Filings Amid Foreign Direct Investment Downturn

The Committee on Foreign Investment in the United States (CFIUS) has released its 2022 Annual Report to Congress, highlighting important trends and shifts in foreign investments in the country. This report noted a record 440 filings in 2022, which represents a marginal increase compared to the 436 filings seen in 2021. This uptick is especially striking considering the overall downturn in foreign direct investment into the US in 2022.

CFIUS’s annual report also highlighted a slight reduction in the number of short-form declarations reported, with the figure declining from 164 in 2021 to 154 in 2022. Moreover, there was a subtle rise in the number of notices filed — from 272 in the preceding year.

As well as indicating a trend towards more filings and investigations, the 2022 report reveals an increase in mitigation measures implemented by CFIUS. Despite these increased filings and measures, no fines were reported in the 2022 narrative.
