Beneficial Ownership Filing Deadlines Extended for Companies Formed in 2024

In an amendment to the Corporate Transparency Act (CTA) regulations, the Financial Crimes Enforcement Network (FinCEN) has announced extensions to the beneficial ownership filing deadlines specific to companies formed or created in the year 2024. This amendment is a decision by FinCEN, a part of the U.S. Treasury Department tasked with safeguarding financial systems from abuse.

Traditionally, Reporting Companies were required to file their initial beneficial ownership information reports within a 30-day deadline from the date of formation. However, in a move that provides companies with more breathing room, those formed in 2024 will now find this deadline extended to a more lenient 90-day period.

This extension provides a crucial buffer for newly formed companies in 2024 to ensure full compliance within this revised timeframe. However, it is critical to note that for Reporting Companies formed in the years after 2024, the filing deadline will revert to the original 30-day period. Legal professionals working within corporate structures must be made aware of these changes to provide accurate and timely advice to their respective teams and adhere to the new deadline.
