Skadden, Arps, Slate, Meagher & Flom LLP, in conjunction with Nordic law firm Roschier, Attorneys Ltd, successfully guided Nokia Oyj through its $2.3 billion acquisition of Infinera Corp. This strategic purchase aims to bolster Nokia’s networking products for data centers and expand its footprint in North America. On the other side of the transaction, Wilson Sonsini Goodrich & Rosati represented Infinera.
Skadden’s legal team was spearheaded by London-based corporate partners Denis Klimentchenko and Lorenzo Corte, the latter of whom serves as the global head of the firm’s transactions practice. Klimentchenko has previously represented Nokia in significant matters, such as its $17 billion merger with Alcatel-Lucent and the acquisition of Panasonic System Networks Company Japan. Corte’s notable deals include advising Adevinta and its special committee in a $15 billion takeover bid by a consortium led by Permira and Blackstone.
The robust Skadden team for this deal also included antitrust partners Steven Sunshine, Frederic Depoortere, and Joseph Rancour; intellectual property and privacy partner Ken Kumayama; executive compensation and benefits partner Erica Schohn; labor and employment law partner David Schwartz; national security partner Mike Leiter, and tax partner Eric Sensenbrenner.
Representing Infinera, the Wilson Sonsini team was composed of corporate partners Doug Schnell, Remi Korenblit, Ross Tanaka, and Amanda Urquiza.
The acquisition underscores a calculated move by Nokia to enhance its market presence and capabilities in optical transmission technology, a crucial component for modern data centers. For further details, please refer to the original article here.
