Rising Pharmaceutical M&A Activity in Japan: Shionogi’s $1.1 Billion Bid for Torii Pharmaceutical Highlights Trend

Pharmaceutical mergers and acquisitions are experiencing a notable upswing in Japan, highlighted by a recent $1.1 billion proposal involving Japanese drugmaker Shionogi & Co Ltd. According to details reported by Law.com, Shionogi has offered to acquire Tokyo-listed Torii Pharmaceutical as well as other assets from Japan Tobacco. The legal intricacies of this high-profile deal involve leading Japanese law firms Nagashima Ohno & Tsunematsu representing Torii, while Nishimura & Asahi advises Shionogi.

This development follows earlier significant transactions in the Japanese pharma sector. Earlier this year, Bain Capital’s acquisition of Mitsubishi Tanabe Pharma for $3.5 billion, alongside Blackstone’s acquisition of a majority stake in CMIC Holdings, underscore the growing international interest and investment in Japan’s pharmaceutical industry.
