Top Law Firms Facilitate Terex’s $2 Billion Acquisition of Dover’s Environmental Solutions Business

Lawyers from three prominent law firms have steered the recent $2 billion acquisition deal where Terex Corporation sought to purchase Dover Corporation’s environmental solutions business.

Fried Frank and Pryor Cashman represented Terex. The teams were led by notable partners including Philip Richter, co-head of Fried Frank’s M&A practice, and Max Yim, while Pryor Cashman’s team was helmed by David Fisher. Fisher brings significant experience, having advised Terex in past high-profile transactions such as the $60 million sale of its German compact construction business to Yanmar Holdings and the $1.3 billion sale of its mining business to Bucyrus International.

On the other side, Skadden, Arps, Slate, Meagher & Flom steered Dover, with New York M&A partners Brandon Van Dyke and Dohyun Kim leading the legal counsel. The transaction, announced on Monday, is projected to close by year-end, contingent upon regulatory and other approvals.

This acquisition is set to create a new segment within Terex aimed at integrating Dover’s garbage truck manufacturing operations with Terex’s existing utilities segment, thereby expanding Terex’s product portfolio in the lifting and material processing market.
