Florida Joins Select States with New Protected Series LLC Legislation

The Florida Legislature’s recent move to amend the Florida Revised Limited Liability Company Act now allows for the addition of protected series limited liability company (LLC) provisions. This change positions Florida alongside a select group of states that have enacted consistent, uniform legislation for series LLCs. Such legal frameworks enhance the utility of limited liability companies for privately held businesses seeking greater structural flexibility. Notably, the new provisions are encapsulated within Sections 605.2101 through 605.2802 of the Florida Statutes. Louis Conti of Holland & Knight highlights this advancement in an analysis available on Law360.
