Johnson & Johnson and ChemImage Resolve AI Imaging Tech Dispute with $76.6 Million Settlement

This settlement follows a ruling by the U.S. District Court for the Southern District of New York, which found J&J’s subsidiary, Ethicon, Inc., liable for breaching the contract with ChemImage and awarded the latter $76.6 million in damages.

In 2019, ChemImage and Ethicon entered into a partnership to develop AI-based light imaging technology intended to enhance surgical procedures. The agreement stipulated that ChemImage would achieve specific developmental and regulatory milestones, triggering substantial payments from Ethicon. However, by 2023, the project had fallen behind schedule. Ethicon terminated the agreement on March 6, 2023, citing ChemImage’s failure to meet a milestone as the reason for termination.

ChemImage filed a lawsuit against Ethicon, alleging breach of contract. The court found that Ethicon had indeed breached the agreement by terminating it without obtaining a final determination from the joint steering committee, the body designated under the contract to decide whether milestones had been met. Consequently, the court awarded ChemImage a $40 million termination fee and $36.6 million in intellectual property impairment damages, totaling $76.6 million.

Following the court’s decision, J&J and ChemImage have now reached a settlement to resolve the dispute. The terms of the settlement have not been publicly disclosed. This case underscores the importance of adhering to contractual procedures and the potential financial repercussions of premature termination of agreements in collaborative technology development projects.
